Amending the registration data of individual establishments and companies in the Commercial Agents Register in accordance with Law 120/1982

Types of adjustments:

• Modify the trade name or trademark
• Amending the head office address and amending the commercial registration number
• Amendment of the legal entity without the expiration of the legal personality
• Amending the tax number or tax office
• Adding or deleting an authorized agent in the sole proprietorship
• Entry or exit of a partner or modification of his capacity in companies
• Amending who has the right to manage and sign
• Add or delete a manager
• Add or delete a branch
• Amending the capital without being less than the minimum required according to Law 120/1982

Conditions required amending or recording the registration data in the Commercial Agents Register

First, the conditions for amending or recording the data of individual establishments in the Commercial Agents Register

1. That 90 days have not passed since the expiry of the agent registry card without renewing its validity
2. The natural personality must not have expired due to the death of the person concerned, the commercial register has been erased, the file at the Tax Authority has not been permanently suspended ... etc.
3. That the commercial agency activity has not been written off from the commercial register or tax card
4. The presence of a valid agency contract affixed to the agent record card
5. That a decision has not been issued by the Minister of trade and Industry to cancel the registration of the facility or company in the commercial agents registry for committing any of the violations mentioned in Articles 21 and 22 of Law 120/1982
6. That the court has not issued a ruling canceling the establishment’s registration in the commercial agents registry for committing any of the violations mentioned in Articles 16, 17 and 18 of Law 1982/120
7. That the person concerned or the facility has not undergone any change that would lose any of the conditions of registration in the Commercial Agents Register in accordance with Law 120/1982

Second, the conditions for amending or recording companies’ data in the Commercial Agents Register

1. It has not been 90 days since the expiry of the registration in the Commercial Agents Register without renewing its validity
2. The commercial register has not been erased due to the expiration of the legal personality
3. The tax card number has not been modified due to the expiration of the legal personality
4. The legal entity of the company has not been changed or has been changed without entailing the termination of the legal personality
5. The commercial agency business activity has not been written off from the commercial register
6. The presence of a valid agency contract affixed to the agent record card
7. If the condition of all those whose names are listed in the Commercial Register or the company’s status is that none of them has changed any of the conditions of registration in the Commercial Agents Register in accordance with Law 120/1982
8. That the company’s capital is not less than the required minimum (twenty thousand pounds) according to Law 120/1982
9. That a decision has not been issued or a ruling was issued to cancel the registration of the company in the agents’ register for committing any of the violations mentioned in Law 1982/1982 and the Executive Regulations

Third, the conditions to be met by a representative of the commercial agent

1. He must be Egyptian
2. He is entrusted under an official power of attorney documented by the real estate registry
3. If the person acting on behalf of the commercial agent is a government employee, public authority, public institution, or local government unit, his employer must agree to represent the commercial agent before the authority

Documents required amending or recording registration data in the Commercial Agents Register

First, documents for amending the registration of individual establishments in the Commercial Agents Register

1. Complete the application for the amendment of commercial agents signed by the person concerned in front of the competent employee or agent
2. A copy of the national ID card or passport of the applicant for modification and the original for viewing
3. A recent official extract from the commercial register, valid after noting the amendments
4. A copy of the tax card with the amendments installed, provided that its data are complete and consistent with the data of the commercial register and the original for review
   Noting that in case of capital adjustment, the tax card copy will not be completed
5. If the applicant is an agent on behalf of the person concerned, the following documents are required from him:
   • A copy of a notarized power of attorney from the real estate registry with a review of the original (only a second agent is accepted)
   • Complete the declaration of validity of the power of attorney (original)
   • If he is a government employee, public authority, public institution, or local government unit, he submits a letter from his employer that there is no objection to that authority for the employee to perform proxy work for others and that he has taken an unpaid leave
6. In the event of changing the address of the company’s headquarters from one governorate to another
   The previous documents are to be completed in addition to the certificate of erasure of the old commercial register

Secondly, documents for amending company registration data in the Commercial Agents Register

1. Complete the commercial agents’ amendment request signed by the person who has the right to manage and sign in front of the competent employee or signed by the legal agent
2. A copy of the national ID card or passport of the applicant for modification and the original for viewing
3. A recent official extract from the commercial register, valid after noting the amendments
4. A copy of the tax card with the amendments installed, provided that its data are complete and consistent with the data of the commercial register and the original for review
   Noting that in case of capital adjustment, the tax card copy will not be completed
5. A copy of the investment contract or newspaper affixed to any of them, with the required modifications, with a view of the original
6. If the applicant is an agent for the company, the following documents are required from him:
   A copy of a notarized power of attorney from the real estate registry with a review of the original (even a second agent is accepted only)
7. Complete the declaration of validity of the power of attorney (original)
8. If he is a government employee, public authority, public institution, or local government unit, he submits a letter from his employer that there is no objection to that authority for the employee to perform proxy work for others and that he has taken an unpaid leave
9. In the event of modification of the company's headquarters
   Complete the documents from 1 to 8 adding to Certificate of erasure of the old commercial register
10. In the event of the entry of a general partner, members of the board of directors, or certain managers, or the capacity of a partner to be changed to a general partner, or the person who has the right to manage and sign, or the chairman of the board of directors is modified
    Documents 1 to 8 are completed in addition to
    • A copy of the national ID or passport, and the original for viewing
    • An official extract of the birth certificate or a copy of the military transaction
      Noting that if he is of foreign origin, it must be indicated on the birth certificate. Ten years have passed since acquiring the nationality.
    • Acknowledgment form for the registration of the company in the register of commercial agents, signed in front of the competent employee, or approval of the validity of the signature from the bank
    • A decision accepting the resignation or termination of service if he was a former employee of the government, public bodies, public institutions, local government units, public sector companies or the public business sector, provided that two years have passed since he left work
11. In the event of the entry of a limited partner or holders of shares
    Documents 1 to 8 are completed in addition to
    • A copy of the national ID or passport, and the original for viewing
    • An official extract of the birth certificate or a copy of the military transaction
    
    
    Noting that if he is of foreign origin, it must be indicated on the birth certificate. Ten years have passed since acquiring the nationality.

Modification procedures

3. It takes into account the placement of the required stamp and the stamp of resource development on the power of attorney
4. If the person concerned or who has the right to manage and sign is outside the country and delegate his legal representative to submit an application for obtaining the service at the authority, the power of attorney issued by a foreign authority must be certified by the Egyptian embassy or consulate abroad and deposited in the real estate registry in Egypt.
5. It is not permissible to sign personal declarations on behalf of the representative ,In the case of travel for those who meet the declaration, the declaration and a copy of the passport shall be documented from the Egyptian embassy or consulate abroad
6. The validity of the declarations is 3 months, and until a second power of attorney is accepted only - the authorization is not accepted
7. If the person acting on behalf of the employee of the government, public bodies, public institutions, or local government units acting on behalf of the applicant is the agent’s registry card, the agent’s record card shall not be delivered until after notifying his employer.
8. The number of contracts registered in the agents record card is indicated (14)
9. Agency data and products certification includes
   • Agent's data - his name - registration number in (14) - registration validity date - tax registration number
   • Principal data Registration code (authentication number at the embassy or consulate) - registration authority - client's name and nationality - contract certification number - contract start and end - contract validity (specified - automatic renewal - extended) - products subject of the contract
10. The presence of a valid agency contract affixed to the commercial agents registry card is one of the conditions for continued registration in the commercial agents registry
11. In the event that there is only one valid agency contract affixed to the commercial agents registry card whose validity period is less than 5 years, the validity of the registration in the commercial agents registry is linked to the expiry date of that contract until other agency contracts are added
12. After amending the agents record card, the data of the customs dealers card must be updated from the customs computer, the car customs at the airport
