Service description

Renewing the registration of commercial agents according to Law 120/1982

Renewal date:

  • The renewal application shall be submitted within the ninety days preceding the expiry date of the registration for the regular renewal fee
  • The fees shall be doubled during the ninety days following the end of the registration validity
  • If the renewal is not done within the 90 days following the expiry date of the registration, the registration will be administratively cancelled

Conditions required renewing the registration in the commercial agent's registry

First, the conditions for renewing the registration of a sole proprietorship in the agents’ registry:

  1. It has not been 90 days since the expiry of the registration in the Commercial Agents Register without renewing its validity
  2. The natural personality must not have expired due to the death of the person concerned, the commercial register has been erased, the file at the Tax Authority has not been permanently suspended ... etc.
  3. The commercial agency business activity has not been written off from the commercial register
  4. The presence of a valid agency contract affixed to the agent's registry card to be renewed
  5. A decision or judgment has not been issued to cancel the establishment’s registration in the agents’ register for committing one of the violations mentioned in Law 120/1982 and its executive regulations
  6. The condition of the person concerned, the authorized agent, or the facility has not changed any of the conditions of registration according to Law 120/1982.

Second, the conditions for renewing the registration of companies in the agents’ registry:

  1. It has not been 90 days since the expiry of the registration in the Commercial Agents Register without renewing its validity
  2. The commercial register has not been erased due to the expiration of the legal personality
  3. The tax card number has not been modified due to the expiration of the legal personality
  4. The legal entity of the company has not been changed or has been changed without entailing the termination of the legal personality
  5. The commercial agency business activity has not been written off from the commercial register
  6. The presence of a valid agency contract affixed to the agent's registry card to be renewed
  7. If the condition of all those whose names are listed in the Commercial Register or the company’s status is that none of them has changed any of the conditions of registration in the Commercial Agents Register in accordance with Law 120/1982
  8. That the company’s capital is not less than the required minimum (twenty thousand pounds) according to Law 120/198
  9. That a decision has not been issued or a ruling was issued to cancel the registration of the company in the agents’ register for committing any of the violations mentioned in Law 1982/1982 and the Executive Regulations

Third, the conditions to be met by a representative of the commercial agent:

  1. He must be Egyptian
  2. He is entrusted under an official power of attorney documented by the real estate registry
  3. If the person acting on behalf of the commercial agent is a government employee, public authority, public institution, or local government unit, his employer must agree to represent the commercial agent before the authority

Documents required renewing registration in the Commercial Agents Register

First, documents to renew the registration of a sole proprietorship in the agents’ registry

  1. Renewal application form signed by the concerned person in front of the competent employee or signed by the agent
  2. A copy of the national ID card or passport of the applicant for renewal and the original for viewing
  3. An individual renewal acknowledgment signed by the person concerned and the authorized agent in front of the competent employee, or the authenticity of the signature from the bank
  4. If the applicant for registration is an agent on behalf of the person concerned, the following documents shall be collected from him:
    • A copy of a notarized power of attorney from the real estate registry with a review of the original (even a second agent is accepted only)
    • Complete the declaration of validity of the power of attorney (original)
    • If he is a government employee, public authority, public institution, or local government unit, he submits a letter from his employer that there is no objection to that authority for the employee to perform proxy work for others and that he is on leave without pay
  5. A recent official extract from the valid commercial register, including agency activity
  6. A copy of the last tax return approved by taxes and the original for viewing
  7. A copy of the tax card with its data completed and identical to the data of the commercial register and the original for review

Second, the documents for renewing the registration of companies in the Agents Register

  1. 1-Renewal application form signed by the person who has the right to manage and sign in front of the competent employee, or his signature is validated by the bank or signed by the legal agent.
  2. 2-A copy of the national ID card or passport of the applicant for renewal and the original for viewing
  3. 3-Acknowledgment of renewal for companies signed by all of their names in the last commercial register with the signature in front of the competent employee or approval of the signature from the bank (public sector companies are exempted)
  4. 4-If the applicant for renewal is an agent of the company; the following documents will be obtained from him:
    • A copy of a notarized power of attorney from the real estate registry with a review of the original (even a second agent is accepted only)
    • Complete the declaration of validity of the power of attorney (original)
    • If he is a government employee, public authority, public institution, or local government unit, he submits a letter from his employer that there is no objection to that authority for the employee to perform proxy work for others and that he has taken an unpaid leave
  5. A recent official extract from the valid commercial register, including agency activity, and a capital of not less than 20,000 EGP
  6. A copy of the last tax return bearing a live stamp for the emblem of the Republic from the Tax Authority, with a review of the original
  7. A copy of the tax card with its data completed and identical to the data of the commercial register and the original for review

Renewal procedures:

  1. Book an appointment through the authority's website

  2. Submitting the required documents in accordance with the provisions of Law No. 120 of 1982 Examination of documents
  3. Determining the value of the prescribed fees through the application receiving window
  4. Pay the fees to the authority’s treasury with a visa
  5. Financial and technical audit
  6. Enter card data
  7. The person concerned or his agent shall review the card before wrapping it and receiving it

Important Notes:

  3. It takes into account the placement of the required stamp and the stamp of resource development on the power of attorney
  4. If the person concerned or who has the right to manage and sign outside the country and delegate his legal representative to submit an application for obtaining the service at the organization, the power of attorney issued by a foreign authority must be certified by the Egyptian embassy or consulate abroad and deposited in the real estate registry in Egypt
  5. It is not permissible to sign personal declarations on behalf of the representative
    • In the event that one of those listed in the commercial register travels, the declaration and a copy of the passport shall be authenticated by the Egyptian embassy or consulate abroad.
  6. The validity of the declarations is 3 months, and until a second power of attorney is accepted only - the authorization is not accepted
  7. If the tax return is suspended from the activity, a notification must be submitted to resume the activity of the tax agency
  8. If the person acting on behalf of the renewal applicant is a government employee, public authority, public institution, or local government unit, the agent’s registry card shall not be delivered until after notifying his employer.
  9. The presence of a valid agency contract affixed to the commercial agents registry card is one of the conditions for continued registration in the commercial agents registry
  10. In the event that there is only one valid agency contract affixed to the commercial agents registry card whose validity period is less than 5 years, the validity of the registration in the commercial agents registry is linked to the expiry date of that contract until other agency contracts are added
  11. The number of contracts registered in the agents record card is indicated (14)
  12. Agency data and products certification includes
    Agent's data - his name - registration number in (14) - registration validity date - tax registration number
    Principal data Registration code (authentication number at the embassy or consulate) - registration authority - client's name and nationality - contract certification number - contract start and end - contract validity (specified - automatic renewal - extended) - products subject of the contract
  13. If it appears upon renewal of the registration that there are amendments to the registration data, the documents required in case of amendment are reviewed on the organization’s website at the following link****
  14. The agent shall notify the Authority of every amendment in the data of the power of attorney or commercial agencies entrusted to him within 30 days from the date of documenting the modification contract.
  15. If the authority is not notified within 30 days, the following measures will be taken in accordance with Article 21 of Law 1982/1982.
    • Forfeits the right of the establishment to insurance
    • The organization shall notify the establishment of the forfeiture of its right to insurance by registered letter with acknowledgment of receipt at its last address of which the organization has been notified
    • The facility shall pay double insurance within thirty days from the date of being notified of the forfeiture of its right to insurance
    • In the event of a repetition of the violation, the registration shall be canceled by a decision of the Minister of Economy and the right to recover the double insurance shall be forfeited.
    • The agent has the right to recover the double insurance if he does not repeat the breach.
  16. If the client notifies the authority of the termination of an agency contract registered with the authority by a letter notarized by the embassy and attested by the consulate; the following procedures shall be taken:
    • The organization shall notify the agent of the termination of the agency contract twice by registered letter with acknowledgment of receipt
    • If the agent does not submit a request to cancel the agency contract after being notified twice, procedures for canceling the agency will be initiated by a ministerial decision
    • If the agent submits a lawsuit or arbitration request to claim compensation within the 60 days from the date of the client’s termination of the agency contract, re-registration of the agency is prohibited until the lawsuit is decided or the compensation is settled after the board chairman approves the legal affairs memorandum
    • After the expiry of 60 days from the termination of the agency contract without the agent submitting a claim or an arbitration request for the claim, the agency can be re-registered to any new agent
  17. After renewing the agents' registry card, the data of the customs dealer's card must be updated from the customs computer, the car customs at the airport
